2. Acceptance of Terms

By accessing this website or engaging our services, you confirm that you are at least 18 years of age, have the legal authority to enter into a binding agreement, and agree to comply with these Terms. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business.

3. Services

Frugal Consultancy Services Pvt Ltd provides the following professional services:

• Technology consulting and IT strategy
• Custom application development (web, mobile, cloud)
• Digital marketing, SEO, and social media management
• Brand strategy and content marketing
• Cybersecurity consulting and compliance advisory
• Product/MVP development and business process consulting

Specific deliverables, timelines, pricing, and scope are defined in individual project proposals, statements of work (SOW), or service agreements signed between both parties.

4. Payment Terms

• All prices are quoted in Indian Rupees (INR) unless otherwise agreed in writing
• International clients may be invoiced in USD or other agreed currencies
• Payment is due as per the schedule outlined in the project agreement (typically 50% upfront, 50% on delivery)
• We accept payments via bank transfer, UPI, and international payment gateways
• Late payments (beyond 15 days of invoice date) may attract interest at 1.5% per month
• GST at applicable rates will be charged on all invoices for Indian clients
• All banking and transaction charges are to be borne by the client

5. Intellectual Property

Client-commissioned work: Upon full payment, all deliverables created specifically for a client become the property of the client. This includes custom code, designs, and content developed exclusively for the project.

Pre-existing IP: Any tools, frameworks, libraries, or methodologies that we bring to a project remain our property. We grant clients a non-exclusive licence to use them as part of the delivered solution.

Website content: All content on www.frugalconsultancy.com — including text, graphics, logos, and design — is the property of Frugal Consultancy Services Pvt Ltd and is protected by applicable copyright laws.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of an engagement. We will not disclose your business information, project details, or data to third parties except as required to deliver the services or as required by law. This obligation survives the termination of any agreement.

7. Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific service giving rise to the claim in the 3 months preceding the claim.

8. Warranties & Disclaimers

We warrant that our services will be performed with reasonable skill and care. However, we do not guarantee specific business outcomes, search engine rankings, revenue targets, or application performance beyond the agreed technical specifications.

Our website is provided "as is" without warranties of any kind. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Third-Party Services

Our services may involve recommending or integrating third-party tools, platforms, or services. We are not responsible for the performance, availability, or terms of those third-party services. Any costs associated with third-party services are separate from our fees unless explicitly included in the project scope.

10. Termination

Either party may terminate a service agreement with written notice as specified in the project agreement. Upon termination, the client shall pay for all work completed up to the termination date. Termination does not affect rights or obligations accrued prior to termination.

We reserve the right to terminate or suspend access to our services immediately, without prior notice, if you breach these Terms or engage in conduct that we determine to be harmful, unlawful, or contrary to our policies.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the competent courts in Hyderabad, Telangana, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes amicably through good-faith negotiation for a period of 30 days.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes are effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will remain in full force and effect.
